Terms of Service

1. What these terms cover — and what they do not

These terms govern the EdSmartly website at edsmartly.com and individual use of the copilot application at app.edsmartly.com, including free tiers and trials. They are an agreement between you andAxiom Intelligence Partners LLC ("EdSmartly", "we", "us"), a Wyoming limited liability company.

School and network subscriptions are not governed by this page. An Annual Site Licence for a school or a school group is a separate written agreement between the institution and Axiom Intelligence Partners LLC, with its own commercial terms, service levels, data-processing terms and governing law. Where that agreement conflicts with these terms, that agreement prevails.

2. The Service

EdSmartly provides AI-assisted tools for educators — lesson planning, assessment generation, report drafting, Socratic questioning sequences and weekly teaching modules — aligned to supported curricula, in Arabic and English.

3. Who may use EdSmartly

EdSmartly is for teachers and school staff. You must be at least 18 years old to hold an account.

EdSmartly is not intended for use by students, and students do not have accounts. Do not create an account for a child, and do not allow a child to use your account. If we introduce a student-facing feature in future, it will be governed by an updated notice and by your school's agreement with us — see thePrivacy Policy, section 4.

4. Accounts

Provide accurate information, keep your credentials confidential, and tell us promptly if you believe your account has been compromised. Where you use EdSmartly through a school workspace, your school administers that workspace — including your role, and whether your account is closed.

5. AI-generated content is a draft, not an answer

Outputs are produced by artificial intelligence. They can be wrong. They must be reviewed by a qualified educator before being used in a classroom, in an assessment, or in any communication about a student. We do not warrant the accuracy, completeness or curriculum compliance of any output; professional judgment remains yours.

EdSmartly makes no automated decision about any student. Every output is a draft for a teacher to review, edit and decide upon.

6. Your content, and who owns it

You own it. All of it.

As between you and us, the school and its teachers retain all intellectual property rights in:

Axiom Intelligence Partners LLC acquires no ownership of that content whatsoever.

We will not train on it

We do not use your content — inputs, outputs or uploaded frameworks — to train, fine-tune or evaluate any AI model, whether ours or a third party's. Our agreements with our AI providers prohibit them from doing so too. This applies on every tier, including free ones.

We claim no other use

We will not sell your content, publish it, use it to build derivative products, or share it with anyone other than the service providers listed in the Privacy Policy — and then only to the extent needed to run the Service for you.

The one permission we do need — stated honestly

To operate the Service at all, we need your permission to hold your content: we cannot store your lesson plan without permission to store it. That permission is narrow, non-exclusive and revocable. It allows us tohost, store, process, transmit and display your content solely to deliver the features you use — to you, and to the users your school authorises. It grants us no other right, and it ends when the content is deleted or archived under the Privacy Policy.

What we own

We retain all rights in the Service itself — the software, the prompt systems, the curriculum data structures and the EdSmartly branding. Nothing in these terms transfers any of that to you.

The Service applies daily and monthly generation limits so that it stays available to everyone. Limits vary by plan and are shown in the app. We may suspend generation that exceeds them, or that appears automated or abusive.

9. Plans and payment

Free tiers and trials are provided as described at sign-up, and may change or end with notice. Paid school and network subscriptions are governed by the separate written agreement referred to in section 1, not by this page.

10. Availability

We aim for high availability, but the Service is provided "as is" and we do not warrant uninterrupted or error-free operation. We may add, change or remove features.

11. Suspension and termination

You may stop using the Service at any time, and may request account closure in the app — see thePrivacy Policy, section 8, for exactly what happens to your data. We may suspend or terminate an account that materially breaches these terms, giving notice where practicable.

12. Disclaimers and liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) US$100. We are not liable for indirect, incidental or consequential losses, or for loss of data or profit. Nothing in these terms limits any liability that cannot lawfully be limited.

13. Changes to these terms

When we change these terms we publish a new version with a new effective date. Continuing to use the Service after that date means you accept the change.

14. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules, and the state and federal courts located in Wyoming have exclusive jurisdiction over disputes arising from them.

Two limits on that, stated plainly. First, this clause does not deprive you of the protection of any mandatory law of the country where you live, including its data-protection law. Second, it does not apply to school and network agreements, which carry their own governing law and dispute-resolution terms as negotiated with the institution.
